Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you ("Customer," "you") and PunchdIn ("we," "us," "our") governing your access to and use of the PunchdIn time-tracking platform, including the website, mobile applications, and APIs (collectively, the "Service").
By creating an account, clicking "I agree," or using the Service, you accept these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.
If you do not agree to these Terms, do not use the Service.
2. The Service
PunchdIn provides a multi-company, multi-site time-tracking service that allows employers to record employee work hours, manage breaks, enforce location-based clock-in rules, and generate payroll-ready reports. The Service is offered under several subscription plans as described on our pricing page.
We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable advance notice of material changes that adversely affect paid subscribers.
3. Accounts and Administration
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.
Administrators within your company may create, modify, and deactivate user accounts. You are responsible for ensuring that your use of the Service complies with applicable employment and data protection laws in your jurisdiction, including obtaining any required employee consents for location tracking and time monitoring.
4. Plans, Billing, and Renewal
4.1 Subscription Plans
Paid plans are billed in advance on a monthly or annual basis, as selected at checkout. Fees are exclusive of applicable taxes (VAT, GST, sales tax), which will be added where required by law.
4.2 Automatic Renewal
Paid subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current rate.
We will send a renewal reminder at least 7 days before the renewal date for annual plans and at least 3 days before for monthly plans, to the email address on file.
4.3 Cancellation
You may cancel your subscription at any time from the billing page in your account, or by contacting support. Cancellation takes effect at the end of the current billing period; you retain access to the Service until that date. We do not provide refunds for partial billing periods, except where required by applicable law (see Section 11 for EU/EEA rights and Section 12 for US state-specific rights).
Cancellation is available through the same channel used to subscribe: a self-service "Cancel subscription" button in the billing settings, accessible without needing to contact support or navigate through multiple screens.
4.4 Price Changes
We may change subscription prices with at least 30 days' advance notice. Price changes apply at your next renewal. If you do not agree to a price change, you may cancel before it takes effect.
4.5 Free Trial
New accounts may be eligible for a 14-day free trial. No payment method is required at signup. At the end of the trial, the account is suspended unless you choose a paid plan. We will not charge you automatically after a trial.
5. Acceptable Use
You agree not to:
- Use the Service to violate any law, including employment, privacy, or data protection laws.
- Collect or track individuals without their knowledge where such notice or consent is required by law.
- Attempt to access accounts, data, or systems you are not authorized to access.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service to send unsolicited commercial messages.
- Interfere with the integrity or performance of the Service.
We may suspend accounts that violate these rules, with notice where practicable.
6. Your Data and Privacy
You retain ownership of all data you submit to the Service, including employee records, time entries, and location data ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service.
Our collection and processing of personal data is governed by our Privacy Policy, which forms part of these Terms. For customers in the EU/EEA, UK, or Switzerland, our Data Processing Agreement applies and incorporates the European Commission's Standard Contractual Clauses where required.
Location data. The Service collects GPS coordinates at the moment of a clock-in or clock-out when a site has geofencing enabled. This data is stored with the punch record. You are responsible for informing your employees of this collection and obtaining any consent required by law.
Employee monitoring. Some jurisdictions require notice to or consultation with employee representatives before implementing monitoring technologies. You are responsible for compliance with those obligations.
7. Intellectual Property
The Service, including all software, design, text, and graphics, is owned by PunchdIn or its licensors and is protected by copyright and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or that data will never be lost. You are responsible for maintaining independent backups of critical data.
EU/EEA exception: Nothing in this section limits the statutory rights available to consumers under applicable EU consumer protection law.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
EU/EEA exception: For consumers in the EU/EEA, the limitations in this section apply only to the extent permitted by the law of your country of residence. Nothing limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Termination
You may terminate your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your account remains unpaid for more than 30 days after the due date.
Upon termination, we will retain Customer Data for 30 days, during which you may export it. After 30 days, we will delete or anonymize it in accordance with our Privacy Policy, unless a longer retention period is required by law.
11. EU/EEA Consumer Rights
This section applies to consumers residing in the European Union or European Economic Area. It takes precedence over any conflicting term in these Terms.
11.1 Right of Withdrawal
Under Directive 2011/83/EU on consumer rights, you have the right to withdraw from a distance contract within 14 days of entering into it, without giving any reason.
Exception for digital services: By subscribing and beginning to use the Service, you expressly consent to the immediate performance of the digital service and acknowledge that you lose your right of withdrawal once the service has been fully performed. If you withdraw before the service has been fully performed, you will be charged for the portion of the service already provided.
To exercise your right of withdrawal, contact us at legal@punchdin.com before the 14-day period expires. We will refund all payments received within 14 days of your notice, using the same payment method.
11.2 Statutory Warranty
As a consumer in the EU/EEA, you have statutory rights regarding the conformity of digital services under Directive (EU) 2019/770. Nothing in these Terms limits those rights.
11.3 Online Dispute Resolution
The European Commission provides an Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. We are not obliged to participate in alternative dispute resolution proceedings before a consumer arbitration board, but we will consider good-faith requests.
12. United States-Specific Terms
This section applies to customers residing in the United States. Where state law provides greater consumer protections than these Terms, state law controls.
12.1 Automatic Renewal Disclosures
In accordance with the federal Restore Online Shoppers' Confidence Act (ROSCA) and applicable state automatic renewal laws (including California's Automatic Renewal Law, Cal. Bus. & Prof. Code § 17602), we disclose the following before obtaining your payment information:
- The subscription will renew automatically at the end of each billing period.
- The renewal term is the same as the initial term (monthly or annual, as selected).
- The amount charged will be the then-current price for your plan, plus applicable taxes.
- You may cancel at any time before the renewal date to avoid the next charge.
Consent. By providing your payment information and clicking "Subscribe," you provide affirmative consent to the automatic renewal terms. This consent is separate from any other consent on the checkout page.
12.2 Cancellation
You may cancel through the self-service billing page or by emailing support@punchdin.com. We will confirm cancellation by email. Cancellation is effective at the end of the current billing period.
California residents: You may cancel online in a manner that is at least as easy as the method used to subscribe. Our billing page provides a direct "Cancel subscription" button that requires no more steps than the initial subscription flow.
12.3 California Privacy Rights
California residents have rights under the California Consumer Privacy Act (CCPA), as amended by the CPRA, including the right to know, delete, correct, and opt out of the "sale" or "sharing" of personal information. See our Privacy Policy for details and the "Do Not Sell or Share My Personal Information" link.
12.4 Governing Law and Venue (US)
For US customers, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute shall be brought in the state or federal courts located in Delaware, except where consumer protection law in your state of residence requires otherwise.
12.5 Arbitration (B2B only)
This arbitration clause applies only to business customers, not to consumers. Any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Judgment on the award may be entered in any court of competent jurisdiction.
13. United Kingdom-Specific Terms
This section applies to customers residing in the United Kingdom.
13.1 Consumer Contracts Regulations 2013
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, UK consumers have a 14-day right to cancel a distance contract. The same digital-service exception described in Section 11.1 applies: by beginning to use the Service immediately, you consent to the supply of digital content and lose the right to cancel once the service has been fully performed.
13.2 Governing Law (UK)
For UK customers, these Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where consumer law in your country of residence (Scotland, Northern Ireland) provides otherwise.
14. Canada-Specific Terms
This section applies to customers residing in Canada.
14.1 Anti-Spam (CASL)
Commercial electronic messages we send (such as renewal reminders and product updates) comply with Canada's Anti-Spam Legislation (CASL). Each message identifies the sender and includes a valid unsubscribe mechanism that remains functional for at least 60 days. We will honor unsubscribe requests within 10 business days.
14.2 Quebec — Law 25
For Quebec residents, our processing of personal information complies with the Act respecting the protection of personal information in the private sector (Law 25). This includes:
- Publishing clear information about our collection, retention, and destruction practices (see our Privacy Policy).
- Obtaining consent for the collection of personal information, including location data.
- Appointing a Privacy Officer responsible for compliance.
- Conducting Privacy Impact Assessments for projects involving the collection or disclosure of personal information.
- Providing a mechanism to request access, correction, and deletion of personal information.
If you use technology capable of identifying, locating, or profiling individuals (such as our GPS geofencing feature), you must inform the individuals concerned and provide them with the means to enable or disable the function.
14.3 Governing Law (Canada)
For Canadian customers, these Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Disputes shall be brought in the courts of Quebec, except where consumer protection law in your province of residence requires otherwise.
15. Governing Law (General)
For customers outside the EU/EEA, UK, US, and Canada, these Terms are governed by the laws of Germany, without regard to conflict-of-law principles. The regional annexes above take precedence over this general clause where they apply.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you at least 30 days before they take effect by email and by a notice on the Service. Continued use after the effective date constitutes acceptance.
